INTRODUCTION:

 

Elocity Technologies Inc. including its affiliates and other group companies (“Elocity” and hereinafter referred to as “The Company/Us/We”), is transforming the transportation electrification journey for electric utilities, cities, and businesses. With our smart and intuitive technology, we provide tools to our customers for managed electric vehicles charging while supporting national and local ambitions for cleaner and sustainable energy systems and help in decarbonizing the grid. The mobile application is an android/iOS application and web-based application through https://elocitytech.com/ (hereinafter referred to as “Product”).

 

While registering/downloading with the Product, you are agreeing to absolutely and unconditionally bound by following terms, including any amendment or updates, as may be happen from time to time.

By default, upon login, is set up to view and share your user id and all other information and contents, recorded or shared, by you, is controlled by you and thus you alone be liable for all privacy of information, contents, or tag.

 

PLEASE READ THE SOFTWARE LICENCE AGREEMENT (“LICENSE”) CAREFULLY BEFORE LOGGING IN THROUGH WEB PLATFORM OR USING THE MOBILE APPLICATION OR DOWNLOADING THE SOFTWARE UPDATE ACCOMPAYING THIS LICENSE. BY USING OR DOWNLOADING THE PRODUCT OR UPDATE, AS APPLICABLE, YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS LICENCE. IF YOU DO NOT AGREE TO THE TERMS OF THIS LICENCE, DO NOT USE THIS PRODUCT SERVICES OR DOWNLOAD THE SOFTWARE UPDATE.

 

The Company, discretionally, reserve right to modify Software License Agreement or Privacy policy, at any time, so please review it frequently. In case you do not agree with the Privacy Policy, you may choose to discontinue account with us without any claim for any damage, demure, loss to us. By continuing to use our services after any notice of changes to the Privacy Policy, you have deemed to have consent to any such change and no fresh consent shall be taken each time on any such modification and your initial consent at the time of registering of the login shall stand modified.

 

 

SOFTWARE LICENCE AGREEMENT

 

1. GENERAL

 

(A)         The Product (including embedded software and any third-party software), documentation, interfaces, content, fonts, or any other data that came with the Product, as may be updated, or replaced by features enhancement, software updates or system restore software provided by the Company, whether in read-only memory, on any other media or in any other form called is licensed and not sold to you by the Company for your personal use only.  The Company retains absolute ownership of the Product and reserve all rights not expressly granted to you.

 

(B)         The Company, at its discretion, may make available future updates for the Product. The updates, if any, may not necessarily include all existing software features or new features that the Company releases in future.

 

2. PERMITTED LICENSE USES AND RESTRICTIONS

 

(A) Subject to the terms and conditions of this License, you are granted a limited non-exclusive and non-transferable license to use the Product for the personal use only, on a single device, at a time. The license does not grant you any rights to use the Company proprietary interfaces and other intellectual property in the design, development, manufacture, licensing, or distribution of the Product.

 

(B) Any use of Product requires creation of unique name and password, if any, which is the combination of alphabet and numeric or your choice or as suggested by us. Such unique username is required to access updates, features and services of the Product. In addition, you acknowledge that many features and Services of the Product could impact charges of your data plan, and that you are responsible for any such plans. You can control which applications are permitted to use cellular data and view estimate of data such applications have consumed under cellular data settings. Thus, you only manage the usage and liable for all payment thereof, without putting any claim, damages, charges onto the Company for the Product.

 

(C) You may not rent, lease, sell, redistribute or sub-license the Product.

 

PRIVACY:

 

Your privacy is critical to us. We have articulated our data policy and application settings to make important disclosures about you, within your full control so that you can use our product, software, or services to share your personal, professional, social, or other information with others, as per your wish and also advice how the Company collects and can use your content and information.

1.    Information collected by Company and accessed by you.

The objective of the Company is to provide a platform to customers for managing electric vehicles charging while supporting national and local ambitions for cleaner and sustainable energy systems displaying. In order to achieve the objective, the Company creates features and functionality available through website and other means including mobile and other applications, developer platform, premium services, and other features as part of the Company services (“Services”) to enable displaying, sharing, developing, maintaining, and enhancing a network for provide various insights data and useful information. By creating your unique account, you voluntarily and willingly provide Company and other users consent to review, display, share, certain information, including personally identifiable information which you have access to for providing the Services. The information related to vehicles, ownership, usage etc. and would be used for various analytical and behavior pattern to ensure improved delivery of Services.

 

Information about yourself that you share: The information and all contents, whether personal, vehicles or others, filled in the Product belongs to you and owned by you. The Company does not guarantee any accuracy or correctness of the information of you or any user who shared the information with you or with whom you share any information or content. The information you put in is controlled by you as to how and with whom it is shared through privacy and application settings.

 

In addition:

 

a)    For information and contents, tags, third party links or social networking information that is covered by intellectual property rights, like tag, utility, updates, you specifically give us the following permission, subject to your privacy and application settings, an unfettered, absolute, irrevocable, non-exclusive, transferable, sub-licensable, royalty-free, world-wide license to use updates, usage, for any analysis or enhancement, unless deleted by the Parties.

 

b)    When you use the Product, the Product may ask for your permission to access your contact book, photo library, content, personal details, and other information which you agree to provide and grant us such permission for using the same and being stored at the device or our server for various analysis and improvement purposes.

 

c)    You have command over the information provided by you or shared with another user/s and you agree to disclose the same with such user/s. Further, in case you display/show any your personal information then you solely represent and warrant to be true owner of what you share, and you can update, modify, alter information at any time.  However, any information previously shared may be copied or stored by the user, which cannot be deleted by subsequent deletion or modification.

 

d)    You agree to review and keep all information as depicted and displayed by various registered users and agree to keep them confidential and not to claim, sell or trade the said information in your own name.

 

Private communications: We may provide tools for privately connecting with various third parties (for example, OEM, battery usage or adding notes.) Any such information is private, and you agree not to share or distribute to others. You understand that maintaining trust is our utmost concern, so you understand to comply following principles to protect privacy:

 

  • •  You do not use the personal information for any commercial purpose by selling or otherwise misuse of any personal identifiable information of any third parties without the consent of the true owner or except as described in this Policy or terms of use or as required by law.
  • •  All information reviewed or downloaded will be protected with industry standard and take content from the user, without obligations of the Company, for any disclosure.
  • • You further agree to indemnify, unconditional and irrevocably, the Company and its Director on account of any mis-use of any personal information of any third party.

 

How the information shall be collected and permitted:

 

A. Registration

In order to use the Product, you consented to provide us various information for creating an account including but not limited to name, vehicle make, model, country, and password etc. and without such piece of information account cannot be created. You shall have access to such private information for editing, modifying the same at any time.

 

You acknowledge any information for registration is personal to you and is true, fair, and not abusive and by creating an account on Company, you allow others, including Company, to identify you and to allow you to be identified by such information as provided by you for use as per the terms of other agreement / terms agreed for creation of the account.

 

B.  Profile Information

The Company does not guarantee or provide commitment to obtain any information of any user with you as each user is committed to his/her information and controls the information. Any information provided therein or in any section shall be accessed by you and you agree to take appropriate steps to protect such information. However, you also provide your willful consent to indemnify the Company for any misuse of any stored data or analysis for any purposes, including any information on Company’s web portal / mobile application or associate Company.

 

C.  Contacts Information

In order to connect with other users, you may use the Services to send invitations either to their profiles or people you know if they have not registered with Company. The details of people whom you invite will be used to send your invitations and reminders as well as to allow Company to help expand your network. Please note that when you send an invitation to connect to another User, that User will have access to your few personal information because it is displayed in the invitation. You may not invite anyone you do not know and trust to connect with you.

 

D.   Using the Company Site and Applications

You shall receive information when you interact with and use the Company website, Company Applications (e.g. Company for iPhone, Android, etc.), and Company platform technology.

 

E.  Using Third Party Services and Visiting Third Party Sites

 

You receive information when you use your Company account to log in or authenticate to a third-party website or application. Also, if you are logged into Product and visit a third party site that embeds Company professional plugins, like “Share on Company” for web publishers, Company will receive information that those pages have loaded in your web browser. Company will use this information to personalize the Company-provided functionality, including providing you insights from your Company network, allowing you to share information with your network, enabling you to use Company functionality off the Company site and serving you more relevant advertising.

 

F.  Cookies

 

Like most websites, we use cookies and web log files to trail usage and trends for improving the level of Services and your experience with the Company. A cookie is a tiny data file that resides on your computer, mobile phone, or other device, and allows us to recognize you as a User when you return to the Company website using the same computer and web browser. You can remove or block cookies using the settings in your browser, but in some cases doing so may impact your ability to use Company.

 

G.  Log files, IP Addresses and information about your computer and mobile device

 

Due to the communications standards on the internet, when you visit the Product, we automatically receive the URL of the site from which you came and the site to which you are going when you leave Company. Additionally, advertisers receive the URL of the page you were on when you click on an ad on Company. Company also receives the internet protocol (“IP”) address of your device (or the proxy server you use to access the World Wide Web), your computer operating system and type of web browser you are using, email patterns, your mobile device (including your UDID) and mobile operating system (if you are accessing Company using a mobile device), as well as the name of your ISP or your mobile carrier. Company may also receive location data passed to it from third-party services or GPS-enabled devices that you have enabled. The link between your IP address and your personally identifiable information is not shared with third parties without your permission, except as required under law or for compliance under any other agreement by the Company with any third party.

 

H. Rights to access, modify, alter, and eliminate information

 

You have a right to access, modify, alter, and eliminate the data you provide and access to Company. If you update any of your information or delete any information, we may keep a copy of the information that you originally provided to us in our archives for uses documented in this policy. You may request deletion of your information at any time by writing to us and we will respond to your request within 30 days to provide best of solution without any obligation or committing for deletion/elimination of you information. Please note, however that information you have shared with others, or that other Users and have been copied, may also remain visible or kept with any third party even if you request its deletion.

 

I.  Data Retention

 

Company may retain your information for so long as your account is active or as needed to provide you Services. Further, even after deletion of your account with us, we may retain and use your information as necessary to comply with our legal obligations, resolve disputes, and enforce this Agreement for which you expressly have provided your willful consent after reading this clause.


 

2.   Company permits usage of the information or contents

 

A.  Consent to Company and User for sharing of Information

 

The information accessed by you of any third party from usage of Services of the Company may reveal, or allow others to identify user nationality, vehicles model, make, life-span and other aspects related to battery/vehicle and its behaviour. By providing information with you but the consent may not be for any personal or commercial use by you. Further, by creating your user account or adding any additional details to Company’s profile, you are expressly and voluntarily accepting the terms and conditions of this Privacy Policy and Company’s User Agreement that allow Company to process information about you and other third party information accessed by you. You cannot revoke your consent; though in case you do not wish to provide your consent, it can be done by discontinuation of use of Services availed by you.

 

B.  Company Communications

 

As described in the other terms of use, we will communicate with you through email, notices posted on the Company website, messages to your inbox, or through other means available, including mobile text messages. We may also send you messages with promotional information directly or on behalf of our partners unless you have opted out of receiving promotional information.

 

You can change your e-mail and contact preferences at any time by logging into your account and changing your settings related to your email notification choices.

 

Please be aware that you cannot opt-out of receiving service messages from Company. Also, if we send communications to you via the carrier service with which you have a mobile communications subscription or otherwise have access, you understand you will pay any service fees associated with your receipt of messages on your mobile device (including text messaging charges).

 

C. User Communications

 

Many communications you initiate through Company (e.g., an invitation sent to a non-User) will list your primary email address and name in the header of the message. Your contact information will only be shared with another User if both of you have indicated that you would like to establish contact with each other.

 

D. Sharing Information with Third Parties and access of Third Parties

 

Company takes the privacy very truly, and we do not sell, rent, or otherwise provide your personally identifiable information to third parties, except as described in this policy or other terms of use for availing of the Services or under following circumstances and further you also accept not to sell, rent or other use any personally identifiable information of any third party, except:

 

(1) To comply with legal process, including, but not limited to, civil and criminal subpoenas, court orders or other compulsory disclosures.

(2) To respond to claims of a violation of the rights of third parties, whether or not the third party is a User, individual, or government agency.

(3) To protect the rights, property, or personal safety of Company, our Users, or the public.

 

We may provide aggregated anonymous data about the usage of the Services to third parties for purposes that we deem, in our sole discretion, to be appropriate, including to prospective advertisers, investors, legal consultants etc. of the Company.  

 

E. Polls and Surveys

 

Polls and Surveys may be conducted by Company, Company Users or third parties. As a User, you may be invited to participate in polls and surveys from the Company website. Your selection may be random, or it may be based on your non-personally identifiable information, such as job title, geography, company size and/or industry. Whether or not you decide to participate in a poll or survey is completely up to you.

 

After you complete a poll, you will be given access to the aggregate responses of the poll on a results page. Some third parties may target advertisements to you on the results page based on your answers in the poll.

 

We may use third parties to deliver incentives to you to participate in surveys or polls. If the delivery of incentives requires your contact information, you may be asked to provide personally identifiable information to the third party fulfilling the incentive offer, which will only be used for the purpose of delivering incentives and/or verifying your contact information. It is up to you whether you provide this information, or whether you desire to take advantage of an incentive, but any such disclosure shall be at your sole risk and Company does not owe any responsibility towards any such disclosure.

 

F. Search

 

We may offer search services to help find information and learn more about other Users (for example, you can search for Users with particular expertise or consulting experience, or that you may know from your industry or profession), as well as employment opportunities. Company search also allows Users to find right talent and companies and thus we shall use information from User profiles to inform and refine our search service.

 

G. Compliance with Legal Process

 

It is possible that we may need to disclose personal information, profile information and/or information about your activities as a Company User when required by subpoena or other legal process, or if Company has a good faith belief that disclosure is necessary to (a) investigate, prevent or take action regarding suspected or actual illegal activities or to assist government enforcement agencies; (b) to enforce the User Agreement, to investigate and defend ourselves against any third party claims or allegations, or to protect the security or integrity of our site; and/or (c) to exercise or protect the rights, property or personal safety of Company, our Users, employees, or others.

 

H. Disclosures to Others as the Result of a Change in Control or Sale of Company Corporation

 

We may also disclose your personal information and other information you provide to another third party as part of a sale of the assets of Company or as the result of a change in control of the company. Any third party to which Company transfers or sells Company’s assets will have the right to continue to use the personal and other information that you provide to us.

 

 

3.  Your Information Choices

 

A.   Accessing and Changing Your Account Information

 

You can review the personal information you provided to us. You may make any desired changes to the information you published but not others, or to the settings for your account including your email and contact preferences, at any time by logging in to your login account. Please be aware that even after your request for a change is processed, Company may, for a time, retain residual information about you in its backup and/or archival copies of its database.

 

B. Default Settings

 

Because the mission of Company is to connect the world’s professionals and bridge the gap to enable them to become more productive and successful, we have established what we believe to be reasonable default settings that we have found most professionals desire. Because Users may use and interact with Company in a variety of ways, and because those uses may change over time, we designed our settings to provide our users granular control over the information they share. We encourage our Users to review their account settings and adjust them in accordance with their preferences.

 

a. Closing Your Account

 

You can close your account. If you close your account, we will remove your name and other personally identifiable information from our publicly viewable database. Further, you agree to delete all information of any third party which may be accessed by you through use of our website, immediately.

 

If you close your account, we have no obligation to retain your information, and may delete any or all of your account information without liability. However, we may retain certain data contributed by you if Company believes it may be necessary to prevent fraud or future abuse, or for legitimate business purposes, such as analysis of aggregated, non-personally identifiable data, account recovery, or if required by law. Company may also retain and use your information if necessary to provide the Services to other Users. Company does not control when search engines update their cache, which may contain certain public profile information that has since been removed from Company’s publicly viewable database.

 

D. Memorializing Accounts

 

If we learn that a User is deceased, we may memorialize the User’s account. In these cases, we may restrict profile access, remove messaging functionality, and close an account if we receive a formal request from the User’s next of kin or another legitimate legal request to do so.

 

4.   Your obligations for reviewing information and user of services

 

As a User, you have certain obligations to other Users. Some of these obligations are imposed by applicable law and regulations, and others have become common place in user-friendly communities of like-minded members such as Company:

·         You must, at all times, abide by the terms and conditions of the then-current Privacy Policy and other terms of use. This includes respecting all intellectual property rights that may belong to third parties (such as trademarks or photographs).

·         You must not download or otherwise disseminate any information that may be deemed to be injurious, violent, offensive, racist, or xenophobic, or which may otherwise violate the purpose and spirit of Company and its community of Users.

·         You must not provide to Company and/or other User’s information that you believe might be injurious or detrimental to your person or to your professional or social status.

·         You must keep your username and password confidential and not share it with others.

·         You shall not misuse any information of any third party which is accessed by you.

 

Any violation of these guidelines may lead to the restriction, suspension, or termination of your account at the sole discretion of Company.

 

5. Security

 

In order to help secure your personal information, access to your data on Company is password-protected, and sensitive data (such as credit card information) is protected by SSL encryption when it is exchanged between your web browser and the Company website. To protect any data you store on our servers, Company also regularly audits its system for possible vulnerabilities and attacks, and we use a tier-one secured-access data center. However, since the internet is not a 100% secure environment, we cannot ensure or warrant the security of any information you transmit to Company. There is no guarantee that information may not be accessed, disclosed, altered, or destroyed by breach of any of our physical, technical, or managerial safeguards. It is your responsibility to protect the security of your login information. Please note that emails, instant messaging, and similar means of communication with other Users of Company are not encrypted, and we strongly advise you not to communicate any confidential information through these means.

 

However, any misuse of any information shall not be responsibility of the Company.
